Resolution No. 288 of 2024 announces the temporary suspension of trading on the shares of Fujairah Building Industries P.S.C on the ADX. The suspension is due to coincide with the company's AGM, scheduled for 11:00 on 6-Mar-2024. Trading will be suspended from 09:00 on 6-Mar-2024 until the AGM results are received by ADX. All department heads in ADX are required to execute this resolution in their respective fields. The resolution will be circulated to SCA, the concerned company, all ADX departments, and all brokers accredited by ADX. The resolution was approved by the authorized person and issued on 12/02/2024.

The Fujairah Building Industries Public Joint Stock Company (P.J.S.C) announces the opening of nominations for board membership for the third term. The nomination period will run from 19/02/2024 to 28/02/2024. Any shareholder or group of shareholders has the right to nominate themselves or others for the board, by submitting a request to the company's management at the company's headquarters in Fujairah. General conditions include: 1. The nominee must be a shareholder in the company. 2. The nomination request must be submitted at least 10 days before the date of the General Assembly meeting. 3. The nominee must comply with the provisions of the Ministerial Resolution No. (32) of 2021 and the Board of Directors' Resolution No. (3/R) of 2020. 4. The application for nomination must be submitted at least 10 days before the date of the General Assembly meeting. 5. The company has the right to reject any nomination if it does not meet the conditions. 6. The company will announce the names of the nominees and the results of the nominations on the company's website (www.fujfbi.ae) on 29/02/2024. 7. The Securities and Commodities Authority and the Financial Market will be notified of the names of the nominees at the end of the nomination period.

The Board of Directors of Fujairah Building Industries P.S.C has invited shareholders to attend the Annual General Meeting on Wednesday, 6th March 2024 at 11:00 am at Novotel Fujairah. Shareholders can also attend and participate online. The agenda includes hearing and approving the Directors' and Auditors' reports for the fiscal year ended 31st December 2023, discussing and approving the company's balance sheet and profit & loss account for the same period, and a proposal to distribute 30% of the share capital as cash dividends. Other items include discussing board remuneration, allowing board members to participate in competing businesses, absolving the board and auditors from liability for the year ended 31st December 2023, appointing independent auditors for 2024, and electing board members. A special resolution will discuss voluntary contributions for community service.
